Brand & Advertiser Agreement
Governs your use of palflip as a Brand running Campaigns. In addition to the Terms of Service and other incorporated policies, all incorporated by reference.
1. Eligibility
You must be 18 or older, and if you act for a company you must be authorised to bind it. You are responsible for the accuracy of your Brand profile and Campaign details.
2. Creating and funding Campaigns
You set the Campaign's Rate, Max Payout, requirements, allowed platforms, whether it is open or approval-only, and any end date, and you upload your content and guidelines ("Brand Content").
When the Max Payout is reached or the end date passes, the Campaign closes and no further payments are made to Creators for that Campaign.
3. Reviewing Creator submissions
You may approve, flag, or reject Creator Deliverables. You may reject only where the Deliverable fails your requirements, breaches an incorporated policy or any law, there is reasonable suspicion of fraud, or the Max Payout is reached or the Campaign ended — never in bad faith to avoid paying for legitimate work.
If you do not review a submission in time, palflip may approve or reject it on your behalf, including by automated means. You may ban a Creator from a specific Campaign or all your Campaigns for the reasons above, and you are responsible for monitoring your Campaigns and instructing Creators to remove non-compliant posts.
4. Advertising law and disclosure
You are responsible for ensuring your Campaigns and the resulting Deliverables comply with advertising law, including the Advertising Regulatory Board (ARB) code and the Consumer Protection Act, and for requiring Creators to disclose the paid relationship (e.g. #ad / #sponsored). You must not require or encourage false, misleading, or unsubstantiated claims, or any Deliverable that breaches the Acceptable Use Policy.
5. Intellectual property
You grant palflip a licence to host, display, and use your Brand Content and marks to operate and promote the Campaign and the Platform, and you grant participating Creators a limited, revocable licence to use your Brand Content and marks only to create Deliverables for your Campaign.
Palflip sublicenses to you the rights and Likeness licence Creators grant in the Creator Agreement and Likeness Release, so you may use approved Deliverables and the Creator's Likeness as embodied in them for advertising and promotion. These rights are provided "as is", without warranty by palflip.
6. Your representations and warranties
You warrant that: you have all rights to your Brand Content and marks and they do not infringe any third party's rights or breach any law; your Campaigns comply with the Acceptable Use Policy and all applicable laws, including advertising and consumer-protection law; your Campaign is not for a prohibited or restricted product or service without approval; and you will pay all fees and funded amounts due.
7. Refunds, chargebacks and disputes
Funded amounts pay Creators for approved, Verified-View work and the Content Reward Fee; refunds are handled per the Payments & Fees Policy. Amounts already paid to Creators for approved work are generally non-refundable. Initiating a chargeback for legitimately delivered work is a breach of this Agreement and may result in suspension, recovery of the amount, and the fees and costs palflip incurs.
8. Suspension and termination
Palflip may pause, remove, or terminate a Campaign or your account for breach of this Agreement or any policy, non-payment, chargeback abuse, or legal risk. If palflip removes a Campaign, the removal date becomes its end date and unspent funded amounts are handled per the Payments & Fees Policy.
9. Disclaimers, liability and indemnity
The disclaimers, limitation of liability, indemnity, dispute-resolution, and governing-law provisions of the Terms of Service(sections 10–14) apply and are incorporated here. In particular, palflip is not responsible for a Creator's conduct, the performance of any Campaign, or a Deliverable's compliance with advertising law, which remains your responsibility.
